Audit Committee
The Audit Committee is responsible for assisting the Board of Directors in monitoring the quality, transparency, and integrity of financial statements and internal controls. Thus, this Committee aims to contribute to improving the quality and reliability of accounting information, as well as the control and risk management systems of Banco Mercantil.
He has been a member of the Board of Directors of Banco Mercantil since 2022. He is a participating member of the Legal, Contingencies, Audits, and Supervisory Bodies Thematic Committee. Additionally, he served as Tactical Supervisor for INSS Expansion and Contract Management Supervisor. His professional experience over the last five years includes expanding Banco Mercantil’s service network, evaluating and negotiating network lease agreements, and fulfilling responsibilities as a member of the Bank’s Board of Directors and its participating committees. He graduated with a Bachelor’s degree in Social Communication – Advertising and Marketing from Newton Paiva in 2012; holds a Postgraduate degree in Business Administration from FGV (Fundação Getúlio Vargas), completed between 2014 and 2016; and earned an MBA in Global Finance from IBMEC, completed between 2018 and 2020. Furthermore, he completed the Board Member Development Program hosted by Fundação Dom Cabral in 2022, and by the KPMG Business School – Risk University between 2022 and 2023.
Mr. Daniel Henrique Alves da Silva declares that he is not an independent member under the criteria established by the Bank’s Bylaws and current regulations. Mr. Daniel Henrique Alves da Silva was re-elected as a Member of the Board of Directors at the Annual and Extraordinary General Meeting (AEGM) held on April 24, 2024, and took office on June 25, 2024.
He was a member of the Board of Directors and Fiscal Council. He was also the coordinator of Banco Mercantil’s Audit Committee. He holds a graduate degree in Economics and Business Law from Fundação Getúlio Vargas (Belo Horizonte), with a specialization degree in Business Law focused on Financial Institutions – an “in-company” course offered by Coppead – UFRJ. He also graduated in Law from the Pontifical Catholic University of Minas Gerais – PUC-MG.
He has been a member of the Board of Directors of Banco Mercantil since 2020. He served as Executive Director of Technology at Mercantil from 2008 to 2020. His main professional experiences in the last five years include the implementation of Information Technology Governance and significant developments in the technological and business environment of the Bank, such as the digitization of processes at service points with the implementation of the “Paper-Less” solution, the development and launch of the Mobile Banking application and AI-based virtual assistants, the implementation of Business Intelligence solutions, and the creation of mobile service points and the structuring and operation of a new Data Center. He was a member of the Innovation Committee of FEBRABAN and the CIO Council of the Society of Technology of Minas Gerais, SUCESU MG. He graduated in Foreign Trade from Centro Universitário Newton Paiva, holds an MBA in Strategic Information Technology Management from Fundação Getúlio Vargas, and is certified in the Board of Directors Program by Fundação Dom Cabral.
He began his career at PwC in Belo Horizonte in 1987. In 1995, he transferred to the São Paulo office and was admitted to the partnership in 2000. From 2000 to 2007, he operated out of the São Paulo office, focusing primarily on the Financial Services industry. Between 2007 and 2016, he served as the Lead Partner for the Belo Horizonte office, and in 2019, he transitioned to focus fully on client acquisition, development, and relationship management for major clients in Belo Horizonte and Brasília. Currently, he is a qualified member of the Audit Committee for Banco Volkswagen and Banco BS2, as well as a Member of the Risk Committee for Sicoob.
Compensation Committee
The Compensation Committee reports directly to the Board of Directors and aims to ensure transparency and alignment of the executive compensation process at Banco Mercantil with industry practices and regulations, supporting the establishment and supervision of management’s compensation policy.
She is an Executive Director at Banco Mercantil, where, since 2021, she has been responsible for the Legal, Ombudsman, and Corporate Governance Corporate Department. She is a member of the Ethical Conduct, AML-CFT (Anti-Money Laundering and Countering the Financing of Terrorism), and Compensation Committees, as well as the ESG and Social, Environmental, and Climate Responsibility Sub-committee, and the Root Causes Sub-committee. Additionally, she served as Legal and Investor Relations Director at Banco Mercantil from 2020 to 2021. She has a career spanning over 20 years in financial institutions, holding executive leadership positions for the last 11 years. She has served as Vice-President Director of Mercantil do Brasil Marketplace e Empreendimentos Imobiliários S.A., a subsidiary of the Bank, since May 2023, and acts as Technical Director of the Legal and Legislative Committee at ABBC (Brazilian Association of Banks). Furthermore, she has experience as a member of advisory and board of directors, having served as Chairwoman of the Board of Directors at EBEC S.A. between November 2022 and May 2023, and as Chairwoman of the Legal Committee at Amcham-BH from February 2023 to January 2025. She currently serves as Secretary of the Banking Law Committee at the OAB (Brazilian Bar Association) and is a Member of the Legal Committee at Febraban.
She graduated with a Bachelor of Laws (LL.B.) from UFMG (1993–1997), holds an MBA in Finance from IBMEC (2016–2017), and a specialization in Economic and Business Law from Fundação Getúlio Vargas (1999–2000). Additionally, she holds certifications in Risk Management in Banking from INSEAD (Fontainebleau, France, 2015) and International Business Law from the University of California, Irvine (USA, 2014). She also holds a Master of Laws (LL.M.) in U.S. Law from the Antonin Scalia Law School at George Mason University (USA, 2023–2024).
She has been working in the banking sector since 2020 and is currently the Corporate Governance and Shareholder Relations Manager at Banco Mercantil, where she also serves as Coordinator of the Compensation Committee and Coordinator of the ESG Sub-committee. Between 2020 and 2021, she was a Corporate Governance and Corporate Affairs Legal Specialist at Banco Inter. From 2017 to 2020, she worked as a Capital Markets and Banking Legal Specialist at Cescon Barrieu Advogados, a law firm nationally recognized for its practice in the sector. Between 2013 and 2016, she was an Associate Attorney specializing in Corporate Law, Mergers and Acquisitions (M&A), Structured Capital Markets Transactions, Banking Law, Stock Transfer Agent Services, and Business Contracts.
She graduated with a Bachelor of Laws (LL.B.) from PUC MINAS in 2013. She is currently pursuing an MBA in Capital Markets and Derivatives, and holds a specialization in “Corporate Governance Secretariat: How to Structure the Department and Create Value for the Organization,” completed in 2021 through IBGC (Brazilian Institute of Corporate Governance).
A professional with approximately 30 years of experience in large corporations, primarily operating in the Southern region of Brazil, with the last 17 years dedicated to the financial sector within Human Resources, focusing on compensation and benefits. Throughout her career, she has managed job and salary structures, variable compensation programs for both regular employment contract (CLT) and statutory employees, as well as the design and management of short- and long-term incentive plans.
She holds a Bachelor’s degree in Pedagogy from FAPA (2001), an MBA in Human Resources Management from Fundação Getulio Vargas – FGV (2005), a Postgraduate degree in Business Administration from Pontifícia Universidade Católica do Rio Grande do Sul – PUC-RS (2013), and a Postgraduate degree in Business Management from Fundação Dom Cabral (2021). She served as Human Resources Manager at Sicredi S/A from September 2009 to August 2023, and subsequently at the Sicoob Maxicrédito Cooperative from August 2023 to October 2024. Since October 2024, she has held the position of Human Capital Manager at Banco Mercantil.
A professional with solid experience in human resources, people management, and organizational development, operating within large corporations across the industrial and financial sectors. He holds a Bachelor of Laws (LL.B.) from Fundação Mineira de Educação e Cultura – FUMEC (2000), a Specialization in Strategic Human Resources Management from Universidade Federal de Santa Catarina – UFSC (2005), a Specialization in Business Management from Fundação Dom Cabral – FDC (2009), and an Executive MBA in Business Administration (2015). He began his career as an Associate Attorney at Azevedo Sette Advogados, working from December 2000 to March 2002 within the litigation, advisory, and due diligence practices. Subsequently, he joined FCA (Fiat Chrysler Automobiles), where he worked from April 2002 to February 2010, holding various roles in human resources, including Head of Labor Relations, Compensation and Benefits Coordinator, Organizational Design Coordinator, and HR Business Partner Manager.
He then joined Nemak Alumínio, where he served from February 2010 to September 2025, holding multiple executive positions in human resources, including Industrial Relations Manager for Brazil (2010–2013), Talent and Organizational Development Manager for South America (2013), Executive HR Manager for Brazil & Talent and Organizational Development for South America (2013–2015), Senior Executive HR Manager for South America (2015–2023), and Senior Executive Global HR Manager (2022–2025). Since October 2025, he has held the position of Executive Talent and Culture Manager at Banco Mercantil.
A professional with 19 years of experience in the financial sector, operating across compensation, financial planning, and analysis functions. Between 2014 and 2018, he was responsible for coordinating the variable compensation metrics department, including profit-sharing programs designed for both employees and executive officers. Since 2019, he has served as Financial Planning and Analysis (FP&A) Manager, leading the budget consolidation and monitoring for the financial institution and its economic conglomerate.
He holds a Bachelor’s degree in Business Administration from Faculdade de Minas – FAMINAS BH (2008) and a Postgraduate degree in Strategic Business Management from Universidade Federal de Minas Gerais – UFMG (2011).
Risk Committee
The Risk Committee is responsible for advising the Board of Directors in the performance of duties related to risk management and capital management.
He has been a member of the Board of Directors of Banco Mercantil since 2020 and CEO of Banco Mercantil since 2020. His main professional experiences in the last five years include financial planning and schedule management from FEL4 of Petrobras’ Replicantes Project. He was the Treasury and Finance Manager and Executive Director of Finance, Investor Relations, HR, and Marketing at Banco Mercantil. He graduated in Electrical Engineering from UFMG, holds a specialization degree in Projects and Engineering applied to the oil and gas chain from Petrobras University, and completed graduate degrees in Financial Management, Controlling, and Auditing from Fundação Getúlio Vargas. He holds a Harvard Business School certificate in Business Analytics, Economics, and Financial Accounting with High Honors; and Negotiation Mastery, as well as certifications in PMP, CNPI, and CGA. He is currently enrolled in the Global Banking Program at Columbia Business School.
He is the Vice-President Director of Banco Mercantil, where, since 2022, he has been responsible for the Chief Financial Officer (CFO) and Investor Relations (IRO) Division. He is a member of the Risk, Ethical Conduct, Credit Policy, Projects, Client, Performance and People, and Compensation Committees, as well as the Cash, Change Management, and Pricing Sub-committees. He previously served as Executive Director at Banco Mercantil between 2021 and 2022. Additionally, since August 2021, he has been a Director at Domo Digital Tecnologia S.A., a subsidiary of the Bank. He has over 12 years of experience in executive leadership positions (CFO, COO, CIO, Director of Planning and Administration, and IRO) across various sectors, including banking, manufacturing, technology, beverages, and agribusiness. Paulino has been an executive at major companies such as Banco Cooperativo Sicredi and Confederação Sicredi, Teikon Tecnologia, Springer Carrier, and Coca-Cola. Between 2018 and 2019, he was the Investor Relations Officer (IRO) at Banco Agibank S/A, where he also managed the Financial Planning and Analysis (FP&A), Finance, and Treasury departments. In 2020, he served as Chief Financial Officer (CFO) at Calcard Administradora de Cartões Ltda. Furthermore, between July 2020 and May 2021, he held the position of Chief Financial Officer (CFO) at Vibra Agroindustrial S/A, an agribusiness company in the animal protein segment.
His academic background includes institutions such as the University of Chicago Booth School of Business, UFRGS, and FGV. In 2015, he was named Latin America CIO of the Year.
She has been a Director at Banco Mercantil since 2017, and is currently responsible for the Compliance and Risk Board – CRO and DPO. Her focus in the last five years has been on risk and performance, with experience in strategy management (planning, budget, and performance indicators / BSC), risk and capital management, internal controls, Compliance, and PLD. Before joining Mercantil in 2001, she worked as an external auditor at Arthur Andersen, with experience in various sectors, especially telecommunications and steelmaking. She graduated in Business Administration from PUC/MG, completed an MBA in Finance from IBMEC-MG, has several specialization degrees in risk, performance tools, and GRC – Governance, Risk, and Controls, and has experience in finance courses at NYU – New York University.
He has been the Executive Comptroller Director at Banco Mercantil since 2022. He is a participating member of the Risk, Compliance and Internal Controls, and Compensation Committees. He has extensive experience in corporate comptrollership, having worked for approximately 20 years at Banco Bradesco, where he progressed through all technical accounting positions to reach the role of Chief Executive Manager. He participated in and led several major projects, including the consolidation of financial statements, the implementation of International Financial Reporting Standards (IFRS), the structural organization of Bradespar, and the establishment of the operational efficiency committee. He spent 19 years at Banco Bradesco and 11 years at Banco PAN, holding executive and managerial positions within comptrollership, tax, forecasting, operational efficiency, and processes, among other areas. He led the implementation of IFRS at Bradesco and implemented IFRS 9 (the international financial reporting standard for financial instruments) at Banco PAN. Between August 2016 and February 2021, he served as Accounting Superintendent at Banco PAN, subsequently working at the same institution as Executive Superintendent from March 2021 to April 2022. In 2023, he received the Profissional Mérito 2023 award from Anefac in the Comptrollership category, recognizing his prominence and credibility in the business landscape.
He graduated with a Bachelor’s degree in Accounting from Centro Universitário FIEO – UNIFIEO in 2000 and earned an MBA in Comptrollership (MBA Controller) from USP/Fipecafi in 2005.
